3 Fees and deposit

4 Renter responsibilities and assumption of risk
• 	The Renter accepts the Equipment in its current condition and is responsible for its care, use, transport, storage, cleaning, and security for the entire Rental period.
• 	The Renter must follow Owner’s provided operating, food-safety, and cleaning instructions and is responsible for any improper use or failure to follow instructions.
• 	The Renter assumes all risk of loss, theft, damage, contamination, or destruction of the Equipment from any cause while the Equipment is in the Renter’s possession, custody, or control.

5 Damage, loss, repair, replacement, and costs
• 	If the Equipment is lost, stolen, damaged, contaminated, or rendered inoperable while under Renter control, the Renter will promptly pay the full cost to repair or replace the Equipment as determined by the Owner.
• 	The Renter will reimburse the Owner for reasonable lost rental income while the Equipment is unavailable and for any ancillary expenses incurred because of the loss, damage, or contamination, including cleaning, replacement parts, service fees, disposal costs, and shipping.
• 	The Owner’s written estimate or invoice for repair, cleaning, or replacement costs will be the basis for amounts due, provided the Owner acts in good faith.

6 Waiver, release, and limitation of liability
• 	To the fullest extent permitted under Arizona law, the Renter releases and waives any claims against CertifiedPartyRentals & Events LLC, its owners, agents, employees, contractors, and assigns for bodily injury, property damage, or death arising from the Renter’s use, operation, possession, or transport of the Equipment during the Rental period, except for claims that arise from the Owner’s gross negligence or willful misconduct.
• 	The Renter acknowledges this waiver is material to the Owner’s decision to rent the Equipment and is entered into voluntarily.

7 Indemnification and defense
• 	The Renter will indemnify, defend, and hold harmless CertifiedPartyRentals & Events LLC and its owners, agents, employees, contractors, and assigns from and against any and all claims, liabilities, losses, damages, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to the Renter’s use, operation, possession, transport, storage, cleaning, or food-service use of the Equipment, except to the extent such claims are caused by the Owner’s gross negligence or willful misconduct.

8 Insurance requirement
• 	The Renter shall maintain at the Renter’s expense insurance covering loss or damage to the Equipment and liability for injuries or property damage arising from its use in amounts satisfactory to the Owner. Proof of insurance must be provided prior to release of the Equipment.
• 	If the Renter elects not to obtain insurance, the Renter remains fully responsible for all loss, damage, contamination, and associated costs the Owner may incur.

9 Default remedies and repossession
• 	If the Renter fails to pay any amount when due, fails to return the Equipment on time, or breaches this Agreement, the Owner may repossess the Equipment and pursue all available legal and equitable remedies.
• 	The Renter will be responsible for all costs of repossession, collection, enforcement, and any reasonable attorneys’ fees.

10 Governing law and venue
• 	This Agreement is governed by the laws of the State of Arizona. Any dispute arising from this Agreement shall be subject to the jurisdiction and venue of the state or federal courts located within Arizona. The Owner may elect venue in any Arizona county.

11 Severability, integration, and modification
• 	If any provision of this Agreement is held unenforceable, the remaining provisions remain in full force.
• 	This Agreement constitutes the entire agreement between the parties concerning the Equipment rental and supersedes prior oral or written agreements. Any modification must be in writing and signed by both parties.

12 Acknowledgement of understanding
• 	The Renter acknowledges having read this Agreement, understands its terms, and signs voluntarily. The Renter acknowledges that certain rights may be limited by this Agreement under Arizona law.
